SECTION 7. Guidelines in the Execution of the MSLA. The Borrower must obtain the shares of stock/securities for one or even more of the Specified Purposes, as described in Section 6(f) of these Regulations. In this regard, the MSLA might refer to the Specified Purposes within this is of the Rules.
However, an MSLA which permits shares of stock/securities to be lent for the Specified Purposes as herein defined and some other purposes not described or certified by these Regulations shall not qualify as a valid MSLA. An individual MSLA might provide for the lending and borrowing of more than one type of shares of stock/securities. However, only shares of stock/securities, the sale and buy of which are subject to the guidelines of PSE, meet the criteria for SBL transaction.
Shares of stock/securities in private companies not shown and exchanged through the PSE do not fall within the scope of an SBL transaction subject of these Regulations. Every MSLA came into into with a Borrower and a Lender or by their duly certified agents must be authorized with the BIR upon payment of the recommended registration charge pursuant to Section 8(a) hereof.
